1) Work(s) & Electronic Delivery
Work(s): Original musical compositions and corresponding master recordings offered by Licensor, including any included stems, alternates, cutdowns, loops, and documentation.
Delivery: Electronic delivery by download link and/or email. Delivery is deemed complete when the download link is provided.
Plainly: you get a downloadable package; delivery happens electronically.
2) Grant of Rights (Scope, Term, Territory)
Non-exclusive, worldwide, perpetual synchronization right to use the Work(s) in timed relation with one core audiovisual project and all of its promotional/derivative versions, including: feature/short/episodic content; trailers/teasers; behind-the-scenes; reels/shorts; ads and marketing placements; festival/theatrical/broadcast/OTT/CTV/VOD/streaming distributions; project websites/social uploads and paid media for the same project.
A new license is required for a different project (new show/film/brand/campaign).
3) Retained Rights & Royalties
- Performance royalties: Collected and paid to Licensor/Publisher via PROs (e.g., ASCAP). Licensee must file cue sheets where required by the distribution channel.
- Mechanical/Streaming royalties: Any reproduction, distribution, or standalone streaming of the Work(s) outside the synchronized project remains subject to Licensor’s rights.
- Print rights: Any sheet-music publication requires a separate license.
- Neighboring/Master royalties: Any qualifying broadcasts/public performances of the master remain payable to Licensor.
Plainly: you don’t pay these to us directly; they flow through rights organizations.
4) License Fee
One-time fee paid at checkout grants the synchronization rights above. The fee does not include or waive royalties described in Section 3.
5) Credit & Attribution Addendum
Credit must appear substantially as: “Music by The Composer, L.”
Correction window: If credit is unintentionally omitted, Licensee will correct across applicable marketing/promotional channels (e.g., descriptions, program notes, posts, website) within 10 business days of notice and email proof to support@thecomposerl.com. Upon correction, the license remains valid.
Failure to submit cue sheets where required voids the promotional-credit correction allowance and may void this license.
6) Performance Royalty Disclaimer
Licensee owes no backend performance royalties for the licensed use. Licensor and its PRO handle collection of writer/publisher shares directly.
7) Platform Whitelisting (YouTube/Meta/TikTok/etc.)
If Content ID or similar claims arise, Licensee may email the relevant link(s) and proof of purchase to support@thecomposerl.com for project/channel whitelisting or release of claims.
8) Restrictions
- No resale, relicensing, or redistribution of the isolated audio files.
- No unlawful, defamatory, or hateful use.
- No use as a standalone music product or in any template/library offered to third parties.
9) Warranties & Liability
Licensor warrants ownership/control of rights needed to grant this license and that the Work(s) are original works created using industry-standard tools. Because similar tools are widely used, incidental similarity does not imply copying. Maximum liability is limited to the amount paid for the license.
10) Indemnification
Licensee agrees to use the Work(s) lawfully and to indemnify/hold harmless Licensor from claims arising from Licensee’s specific synchronization, context, or distribution of the project.
11) Miscellaneous
- This Agreement is non-exclusive; the same Work(s) may be licensed to others.
- This Agreement constitutes the entire understanding for the Work(s).
- Governing law: State of Wisconsin, USA.
- Records may be executed and stored electronically. Purchase = Acceptance and constitutes binding agreement.
